By accessing, browsing, or using the omnionex website (omnionex.top) or engaging our digital learning community engagement services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and omnionex d.o.o., a company registered in Croatia with registration number 684239715.

Description of Services

omnionex provides digital learning community engagement strategy services to educational institutions. Our services include but are not limited to:

  • Community engagement strategy development and consultation
  • Digital learning experience design and implementation
  • Educational technology integration and support
  • Performance analytics and reporting services
  • Training and ongoing support for educational communities

Specific terms for individual service engagements will be outlined in separate service agreements.

User Obligations

When using our website and services, you agree to:

  • Provide accurate, current, and complete information when requested
  • Maintain the confidentiality of any account credentials
  • Use our services only for lawful purposes and in accordance with these Terms
  • Respect the intellectual property rights of omnionex and third parties
  • Not attempt to gain unauthorised access to our systems or networks
  • Not transmit any harmful, offensive, or illegal content through our services

  • All content created by omnionex, including reports, analyses, and recommendations

Client Content and Data

You retain ownership of any content, data, or materials you provide to omnionex in the course of our service delivery. However, you grant omnionex a limited licence to use such materials solely for the purpose of providing our services to you.

Licence to Use

Subject to these Terms, omnionex grants you a limited, non-exclusive, non-transferable licence to access and use our website for its intended purpose. This licence does not include any right to resell or make commercial use of our services or content.

Service Agreements

Specific services will be provided under separate service agreements that supplement these Terms. In the event of any conflict between these Terms and a service agreement, the service agreement shall prevail with respect to the specific services covered.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed in writing:

  • All fees are quoted and payable in Euros (EUR)
  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges as permitted by law
  • All fees are exclusive of applicable taxes, which are your responsibility

Limitation of Liability

To the maximum extent permitted by applicable law, omnionex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to your use of our services or website.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. omnionex disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Damages

In no event shall omnionex's total liability to you for all damages exceed the amount paid by you to omnionex for the specific service giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless omnionex, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Confidentiality

Both parties acknowledge that they may have access to confidential information. Each party agrees to maintain the confidentiality of such information and use it only for the purposes of the business relationship between the parties.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law principles. The Croatian courts shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or your use of our services.

European Union Rights

If you are a consumer resident in the European Union, you may have additional rights under applicable EU consumer protection laws, and nothing in these Terms shall limit such rights.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes. If a dispute cannot be resolved through direct communication, it shall be resolved through the courts of Croatia as specified in the Governing Law section above.

Termination

Either party may terminate these Terms at any time. omnionex reserves the right to suspend or terminate your access to our website or services immediately, without notice, if you violate these Terms or engage in conduct that we determine to be harmful to our business or other users.

Effect of Termination

Upon termination:

  • Your right to access and use our services will cease immediately
  • Any outstanding payment obligations will remain in effect
  • Provisions relating to intellectual property, limitation of liability, and governing law shall survive
  • We will handle your personal data in accordance with our Privacy Policy

Force Majeure

omnionex shall not be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other causes beyond our reasonable control.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and omnionex regarding the use of our website and services, and supersede all prior or contemporaneous communications and proposals.

Amendments

omnionex reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
